The Board of Commissioners shall be responsible for supervising, monitoring, evaluating the performance of all Company strategic policies and the course of management in general and to provide advice, directions to the Board of Directors towards the policies and strategies taken by the Company management, if required.

  1. The Board of Directors has full responsibility for the management of Company operations to achieve the set targets and objectives.
  1. The Board of Directors shall manage the Company in line with its powers and responsibilities as set out in the articles of association and any other prevailing laws and regulations. 
  2. The Board of Directors shall prepare a business plan and/or revise it with the approval of the Board of Commissioners and to disseminate the plan to all management ranks and to ensure that there is no violation of the GCG principles.
  3. The Board of Directors shall determine the company’s organizational structure along with the job descriptions, authorities and responsibilities within their respective areas under the direction and advice of the Board of Commissioners.
  4. The Board of Directors has the right to manage all of the Company’s resources to achieve the set objectives.
  5. The Board of Directors shall call an annual work meeting to evaluate the performance against the stipulated work program.
  6. The Board of Directors shall account for the performance of its tasks to the General Meeting of Shareholders.

8. The Board of Directors shall provide accurate and relevant data and information to the Board of Commissioners.
